Terms of Service
Short version: Use SellerZoom fairly, don't abuse the platform, and we'll give you a great AI recommendation engine. You own your data. We own the software.
1. Acceptance of Terms
By accessing or using SellerZoom ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.
2. Description of Service
SellerZoom provides an AI-powered product recommendation engine for ecommerce merchants. The Service includes a recommendation widget, dashboard analytics, margin optimization tools, network intelligence features, and related APIs.
3. Account Registration
You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.
4. Acceptable Use
You agree not to:
- Use the Service to engage in fraud, deception, or misleading practices
- Attempt to reverse-engineer, scrape, or extract the recommendation model or AI systems
- Use the Service in violation of any applicable law or platform policy (including Shopify's Partner Program Agreement)
- Introduce malware, spam, or malicious code through the API or webhooks
- Exceed rate limits or attempt to circumvent access controls
- Resell or sublicense the Service without our written consent
5. Your Data
You retain ownership of all store data, product catalogs, order history, and shopper data you provide to SellerZoom. You grant us a limited, non-exclusive licence to process this data solely to provide and improve the Service as described in our Privacy Policy.
6. Intellectual Property
SellerZoom and its licensors own all intellectual property in the Service, including the recommendation algorithms, AI models, dashboard interface, and brand assets. These Terms do not grant you any right to use our trademarks or brand assets without prior written consent.
7. Billing and Payments
Paid plans are billed monthly or annually in advance. All fees are non-refundable except as required by law or as expressly stated in our refund policy. We may change pricing with 30 days notice. Continued use after a price change constitutes acceptance.
8. Free Plan Limitations
Free plan users may be subject to recommendation volume limits, feature restrictions, and SellerZoom branding in the widget. We reserve the right to modify free plan limits at any time with reasonable notice.
9. Uptime and Support
We aim for 99.5% uptime but do not guarantee uninterrupted Service. Planned maintenance will be announced in advance. Support response times vary by plan. We are not liable for losses arising from downtime or degraded performance.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, ACHIEVE ANY PARTICULAR REVENUE RESULTS, OR BE ERROR-FREE. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SELLERZOOM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST REVENUE OR PROFITS, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold SellerZoom harmless from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.
13. Termination
Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you violate these Terms or if required by law. Upon termination, your licence to use the Service ends. Your data will be deleted within 30 days per our Privacy Policy.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Disputes shall be resolved by binding arbitration in Delaware, except you may bring claims in small claims court if eligible.
15. Changes to Terms
We may update these Terms periodically. We will notify you of material changes via email or dashboard notice with at least 14 days notice. Continued use after changes constitutes acceptance of the new Terms.
